ARTICLE I – Name and Purpose
SECTION 1: The name of this organization shall be called Vietnam Veterans of American, Inc. North Central Chapter 907, and hereinafter shall be referred to as Chapter 907. The organization is a local chapter of the Vietnam Veterans of American, hereinafter referred to as National.
SECTION 2: The purpose of this chapter shall be to:
A. Promote and enforce the principals and policies of the National as set forth in the National Constitution and the rules and resolutions, and the Code of Disciplinary Procedure as set forth by National.
B. Act as a formal, unified and democratic body, representing Vietnam Veterans in the North Central Area.
ARTICLE II – Membership
SECTION 1: Eligibility for regular membership in Chapter 907 shall be open to all bonafide. Vietnam Veterans of the United States military service.
SECTION 2: Membership shall also be available to others who are not eligible under Section 1 above but who wish to support the purposes Chapter 907. Members enrolled under this section shall not be entitled to hold the position of any Chapter officer.
ARTICLE III – Officers
SECTION 1: The membership shall elect from the regular membership a President, Vice President, Secretary, Treasurer and other such officers as may be deemed necessary by Chapter 907 or which maybe deemed necessary by the National. Election shall be by vote of those nominated for each position at the Annual Meeting of Chapter 907.
SECTION 2: Officers so elected under Section 1 above shall serve for a period of two(2) years, or until the seat held by such officer shall be declared by the President to be vacant. A vacancy in any office shall be filled, for the remainder of the unexpired term, by a vote of the membership at the next meeting of Chapter 907 after such vacancy has been declared. Said vacancy may be filled by any regular member of Chapter 907.
ARTICLE IV – Duties of Elected Officers
SECTION 1: President – The President shall be the principal executive officer of Chapter 907. He/she shall preside at all meetings of Chapter 907 and shall perform the duties of President as outlined in the National Constitution.
SECTION 2: Vice President – The Vice President shall preside at all meetings of Chapter 907 in the absence of the President. In the event of the death, resignation, termination, inability or refusal to perform the duties of the President, the Vice President shall assume the office of President with all responsibilities thereof, for the duration of the unexpired term of office. The Vice President shall perform all the duties of that office as outlined in the National Constitution.
SECTION 3: Secretary – The Secretary shall record the minutes of all meetings of Chapter 907. The Secretary shall provide a copy of the minutes of each meeting to the membership for their acceptance at the following regular general membership meeting of chapter 907. The Secretary shall perform the duties if the office as outlined in the National Constitution.
SECTION 4: Treasurer – The Treasurer shall have the direct charge and custody of all funds and securities of Chapter 907. The Treasurer shall keep full and accurate account of all receipts and disbursements in books belonging to Chapter 907. Except as hereinafter provided, the Treasurer shall make no disbursements without a majority vote of the membership at a regular meeting of Chapter 907. The Treasurer shall provide a copy of the Treasurer Report at each meetings. The Treasurer shall perform the duties of that office as outlined in the Nation Constitution.
SECTION 5: Committees – The President may form any committees, and appoint members thereto, as deemed necessary to facilitate the business of Chapter 907, and in addition shall appoint a Chairperson of each such committee in accordance with the provisions of the Nation Constitution.
ARTICLE V – Meetings
SECTION 1: Regular Meetings of Chapter 907 shall be held on the 3rd Tuesday of each month except July and August.
SECTION 2: Special meetings of Chapter 907 may be called by the President or twenty-five percent (25%) of the membership.
SECTION 3: All meetings of Chapter 907 shall be conducted in accordance with Roberts Rules of Order, Latest revised edition.
SECTION 4: Except as otherwise provided herein, a simple majority vote of those members present shall be sufficient to pass any resolution, motion, action or other business legally brought to the floor at any meeting. Proxy votes shall not be permitted under any circumstances. In the event of a tie vote, the President shall cast the deciding vote.
SECTION 5: The presence of twenty percent (20%) of all members of Chapter 907 entitled to vote shell constitute a quorum for the transaction of business at any meeting.
ARTICLE VI – Finances
SECTION 1: The fiscal year of Chapter 907 shall begin March 1 and shall end on the 28th day of February in the following year, except in the event of a leap year when such fiscal year shall end on the 29th of February of the Following year.
SECTION 2: The revenue of Chapter 907 shall be derived from membership dues and from such other fundraising sources as shall be approved by the membership.
SECTION 3: All receipts for reimbursement shall be presented within 30 days of the date of the receipt. Receipts received after that period shall not be reimbursed.
SECTION 4: All expenditures or disbursements in excess of $200. must be approved in advance by the membership at a regular meeting of the members of Chapter 907. Expenditures of less than $200. may be authorized by a vote of the Board of Directors, and must be reported to the membership at the next meeting of the membership following such authorization.
SECTION 5: Special accounts and funds may be established by a vote of the membership. Any such special funds shall be under the authority of the Treasurer and maintained under the same conditions as the regular accounts of Chapter 907.
ARTICLE VII – Board Of Directors
SECTION 1: The Directors shall be elected from among the members in good standing of the Chapter by the vote of the members present, in person, and entitled to vote at the annual meeting of the members, or as hereinafter provided. Each Director shall hold office for a one (1), two (2) year term, as determined by the Chapter, until the next annual meeting and until his or her successor is elected and has qualified. A Director may succeed himself or herself any number of times.
SECTION 2: The President, Vice President, Secretary, Treasurer, and such other Officers as have been authorized and elected by a Chapter, shall be members of the Board of Directors of a Chapter, and their terms of directorship shall be conterminous with that of the office that they hold.
SECTION 3: Any member of the Board of Directors who shall be absent from three (3) Board meetings without adequate notice and excuse acceptable to the Board, shall be deemed to have resigned from the board.
ARTICLE VIII – Amendments
SECTION 1:These by-laws may be amended at any regular or special meeting of Chapter 907 by a two thirds(2/3) vote of those members present who are legally entitled to vote, provided that a copy of the proposed amendment has been provided to the membership 60 days in advance of the meeting at which the proposed amendment shall be voted upon. Further, the proposed amendment shall be read to the membership at each meeting held prior to the meeting at which the proposed amendment is to be voted upon.
